Navigating LLC Formation and Maintenance in Alaska: A Brief Overview

  • File Articles of Organization with the Alaska Division of Corporations, Business and Professional Licensing, and pay the state filing fee.

  • Acquire a business license under the LLC's name, or if using a different business name, register the LLC’s trade name accordingly. 

  • Open a bank account in the LLC's name to maintain a clear separation between personal and business finances. 

  • Submit the LLC’s Initial Report within six (6) months of filing Articles of Organization, without additional cost.


Maintenance of the LLC:

Sustaining the LLC's good standing with the State of Alaska and the members’ liability protection involves ongoing obligations: 

  • File a Biennial Report with the State of Alaska every two (2) years, accompanied by the required fee. 

  • Renew the LLC’s Business License every one (1) or two (2) years depending on if the LLC purchases a one (1) or two (2) year license. 

  • If the LLC uses a DBA (i.e., the LLC is doing business under a different name than the LLC), renew the LLC’s Business Name Registration every five (5) years to maintain the LLC’s business identity. 

  • File an updated Beneficial Ownership Report for the LLC through FinCen every time any information any piece of information on the previous report changes

  • Keep any professional licenses or certifications which are required for the type of business that the LLC conducts in good standing. 

  • Maintain strict separation between LLC and personal finances to uphold personal liability protection for the LLC’s members. 

  • Adhere diligently to the provisions outlined in the LLC’s operating agreement, ensuring smooth operations and dispute resolution, including but not limited to holding and documenting member meetings as the agreement requires.
